NAME CHANGE IN LLP

Any LLP which is legitimately enlisted according to the Limited Liability Partnership Act, 2008 is permitted to change its name at any given time during its working after gaining approval from the appropriate authorities.

A Limited Liability Partnership enrolled in India perhaps required to change its name because of business reasons or on the directions of the Central Government. Central Government can order for change of LLP name, if the name of the LLP is deemed to be undesirable or indistinguishable with or too nearly resembling the name of an existing LLP.

  • Change in scope of activities of LLP.

  • Name change because of expansion of any business.

Procedure of name change in LLP

In case there is no provision in the limited liability partnership agreement relating to change in the name the same can be made with the assent of the considerable number of partners of LLP. Name can be changed by adopting the following Forms and Procedure in case of LLP,

  • Run-LLP form (Application for reservation or change of name) is required to be filled for name endorsement.
  • Next to name approval, candidate is required to file Form 5 to intimate the registrar about the name change of LLP. Subsequent to accepting of fresh certificate under new name the LLP needs to execute the Supplementary Agreement to give effect to the adjustments in the LLP agreement.
  • After that LLP needs to file the Supplementary LLP Agreement with the Registrar of LLP in Form 3 within 30 days. From that day LLP will utilize just new name and can't utilize past name.

  • Certificate of Incorporation
  • LLP Agreement
  • New name of LLP
  • Business details
  • Reason for LLP name change
  • Consent of partners
  • Notice of change of name
  • Details of Designated Partner

Proposed changes after name change

After effective of new name, we have to intimate to respective government authorities about change in name of LLP, or any other department from where we had received any certificate or license under old name.

  • GST Department
  • Income Tax Department by Change in Income Tax PAN
  • Change in Income Tax TAN
  • DGFT if have Import Export Code
  • PF/ ESI department
  • Shops and Establishment Department or MSME if any
  • Foods Safety and Standards Authority of India
  • Update of bank details
