Compounding of offence

The Companies Act, 2013 read with interrelated guidelines, any compoundable offence may be compounded under section 441 on payment of fees by the company or officer as the case may be, to the Central Government of such amount as engaged by Court or the Regional Director or any officer approved by the Central Government, as the case but such amount to be accredited must not more than the amount of penalty definite under the specific section for whom the compounding application is made.

• The Regional Director or any official endorsed by the Central Government provided the maximum amount of fine may be up to Rs 25 lakh.
• The court, here court is NCLT (National Company Law Tribunal) if the entirety included is more than Rs. 25 lakh.

Key facts before compounding of offence

• The appeal must be observed by any report, required to be submitted, documented, filed, registered or recorded, or any reality or proof required or approved to be enlisted under this Act will be submitted, documented, enrolled or recorded inside the predefined time given in the material arrangement on the installment of such expense as might be suggested.
• The offense for which an intensifying case ought not to be made again inside a time of 3 years.
• Any offense intensified whether previously or after the association of any suit, intimation thereof will be given by the organization to the registrar inside 7 days from the date on which the offense is so aggravated.
• Any offence compounded before the establishment of any suit, no indictment will be established comparable to such offense, either by the registrar or by any investor of the organization or by any individual approved by the Central Government against the criminal according to whom the offense is so compounded.
• Where the compounding of any offence is made after the institution of any suit, such compounding shall be carried by the Registrar in writing, to the tribunal’s notice in which the suit is incomplete and on such notice of the compounding being given, the company or its officer in relation to whom the offence is so compounded shall be settled.
• The Court or the Regional Director or any officer sanctioned by the Central Government, as the case may be, while dealing with the application for the compounding of an offence for the noncompliance with any provision of this act which requires a corporation or its officer to file or register with, or deliver or send to, the Registrar any profit, description or another deed, may direct, by order, if it or he thinks adequate to do so, any officer or other member of the company to file or register with, or on payment of the fee, and the further fee, along with such return, account or another document within the specified time provided in the demand.

Penal provision

When an organization has filed an application under the Companies Act, 2013 for compounding of offense and the request has been passed by Tribunal or The Regional Director or any official approved by the Central Government will be binding. Any officer or other member of the company who fails to obey with any order made by the Court or the Regional Director or any officer sanctioned by the Central Government shall be punishable with a sentence for the period which may extend to 6 months, or with fine not exceeding 1 lakh rupees, or with both.
